General Sales Conditions
1. General terms
1.1. All provisions contained in the following sections of the General Terms and Conditions shall apply to all contracts concluded with a consumer (hereinafter referred to as the "Customer") and Mantero Seta S.p.A (hereinafter referred to as "Mantero"). These may only be amended on the basis of individual written agreements signed by the consumer and by Mantero. The General Terms are published on Holliday&Brown’s website www.hollidayandbrown.com, in the form "General Terms".
1.2. The term "consumer", as used in the General Terms and Conditions, refers to a natural person who enters into a contract with a trader, not directly related to their commercial or professional activity, as provided for in Art. 3(1)(a) of Legislative Decree No. 206 of 6 September 2005, as amended and supplemented (Consumer Code).
2. How to order
2.1. Before concluding the contract, the Customer must confirm that they have read and accepted these Terms of Sale, including the information on the right of withdrawal and the processing of personal data.
2.2. Mantero accepts orders submitted in electronic form and transmitted via the Internet according to the relevant instructions, through the online sales system available on the website www.hollidayandbrown.com.
2.3. Submitting an order means that the Customer sends a request to enter into a sales contract for the products specified in the order. The offer is deemed accepted by Mantero only at the moment the e-mail confirming payment via PayPal is sent to the e-mail address provided by the Customer.
2.4. Submitting an order does not constitute an obligation for Mantero, and failure to provide confirmation does not imply tacit acceptance of the order.
2.5. To submit an order through the online sales system, the Customer must have an active e-mail account and, if requesting the issuance of an invoice, provide their tax information for invoicing purposes via e-mail: customercare@hollidayandbrown.com or by entering the information in the 'Notes for the Merchant' section during the PayPal checkout.
3. Prices
3.1. Any information regarding the products for sale, including the prices listed on the website www.hollidayandbrown.com, constitutes an invitation to enter into a contract; however, it does not constitute an offer pursuant to Art. 1326 of the Italian Civil Code. The submission of an order by the Customer entails the obligation to pay the indicated price, and the contract is concluded in accordance with the provisions of Art. 2.3.
3.2. Product prices may change without prior notice. The price applicable at the time of the sale is the one published by Mantero on its website www.hollidayandbrown.com at the time the order is submitted.
3.3. The prices listed on the website www.hollidayandbrown.com are expressed in euros and include 22% VAT.
Shipping costs are free of charge. Before completing the order submission process, the Customer is informed of the total price of the goods, including the purchase price of the items, applicable taxes, and duties.
4. Payment methods
4.1. For payment of the product price, the Customer may follow one of the methods indicated in the purchase procedure on the website www.hollidayandbrown.com, which are summarized below:
- PayPal
- Credit Card/Debit Card, via the PayPal shopping cart, with no additional charges.
The entry of credit card details takes place in a window managed directly by PayPal (Europe) S.à r.l. et Cie, S.C.A., and therefore the PayPal terms of service, accessible and viewable from that window, apply.
If the Customer exercises the withdrawal right after payment for products purchased online, Mantero will instruct PayPal to refund the amount due via the same payment method used by the Customer, subject to verification of compliance with the conditions for exercising the right of withdrawal and the condition of the goods, as indicated in section 6 below.

The payment procedure takes place in a window managed directly by PayPal (Europe) S.à r.l. et Cie, S.C.A.; therefore, the PayPal terms of service, accessible and viewable in that window, apply.
4.2. At no point during the purchase process is Mantero able to access the credit card information used (e.g., card number or expiration date), as such data is transmitted via a secure encrypted connection directly to the website of the entity managing the electronic payment (PayPal). No Mantero IT system will store this data.
4.3. Under no circumstances can Mantero be held liable for any fraudulent or improper use of credit or prepaid cards by third parties.
5. Delivery of products and related costs
5.1 Mantero provides delivery of the products to the address provided by the Customer within the European Union. The delivery times indicated on the website and/or in the order confirmation are to be considered indicative and depend on product availability and the timeframes of the appointed carrier.
5.2 Delivery times include both order processing time and shipping time. Order processing time depends on product availability, while shipping time depends on the carrier chosen by Mantero.
5.3. Mantero undertakes to deliver the ordered products to the Customer as soon as possible and, in any case, no later than 30 days from the order date.
5.4 Shipping costs are borne by Mantero.
5.5 Alternatively, the Customer may request to pick up the package directly at our Mantero Shop, located in Via Riccardo Mantero 4 - 22070, Grandate (CO), from Wednesday to Saturday (10:00 AM–6:00 PM), by notifying us in advance via e-mail at: customercare@hollidayandbrown.com or by entering the information in the 'Notes for the Merchant' section during the PayPal checkout.
5.6 Upon delivery, the Customer is required to check the integrity of the packaging and the products. Any anomalies must be reported within 7 business days from delivery, in accordance with the procedures indicated in Art. 8. In any case, the Customer’s right to enforce the statutory warranty of conformity under the terms set forth in the Consumer Code remains unaffected.
6. Right of withdrawal
6.1. Under Article 52 of Legislative Decree no. 206/2005 (“Consumer Code”), the Customer may withdraw from the purchase contract, without any penalty, within 14 working days from the date of receipt of the products through a written communication submitted to the e-mail address: customercare@hollidayandbrown.com.
6.2. In the communication, the Customer must indicate the products subject to withdrawal, the order code, the order date, and the invoice number, if available. After sending the communication, the Customer must return the products within 14 (fourteen) calendar days from the date of the withdrawal notice. Return shipping costs will be borne by Mantero.

The Customer has the option to return products directly at our Mantero Shop, located in Via Riccardo Mantero 4 - 22070, Grandate (CO), from Wednesday to Saturday (10:00 AM–6:00 PM), after notifying us at the e-mail address: customercare@hollidayandbrown.com.
6.3. The Right of Withdrawal, in addition to complying with the terms and procedures described above, is deemed correctly exercised if the following conditions are fully met: i) the purchased products are returned intact; ii) the products are returned in their original packaging (including documentation, fiscal receipt, and accessories: labels and tags), without signs of wear or dirt; iii) the returned products are sent to Mantero in a single shipment.
6.4. The received products will be inspected to assess any damage or tampering.
6.5. The right of withdrawal is reserved exclusively for consumers. Purchases made by persons acting in the exercise of a business activity are excluded.
6.6. If the Right of Withdrawal is exercised in accordance with the procedures and terms indicated above, Mantero will refund any amounts already paid for products purchased directly on the website www.hollidayandbrown.com as soon as possible and, in any case, within fourteen (14) days from the date Mantero becomes aware of the exercise of the withdrawal. The refund will be made using the same payment method used by the Customer. Mantero may withhold the refund until it has received the products or until proof of their shipment by the Customer is provided.
6.7. If there is a discrepancy between the recipient of the products indicated in the order form and the person who made payment for them, the refund, in the case of exercise of the right of withdrawal, will in any case be made by Mantero to the person who made the payment.

7. Quality and warranties
7.1. These General Terms and Conditions of Sale govern the offer, submission, and acceptance of purchase orders for products on www.hollidayandbrown.com and do not cover the provision of services or the sale of products by third parties, different from Mantero, that are present on www.hollidayandbrown.com through links, banners, or other hypertext connections.
7.2. Mantero sells high-quality products. The methods of transport, storage, and packaging ensure protection against damage and deterioration.
7.3. The essential characteristics of the products offered by Mantero are presented with dedicated product sheets, directly visible on the website www.hollidayandbrown.com. However, the images and colors of the products offered for sale on www.hollidayandbrown.com may not exactly match the actual products due to the browser or monitor used.
7.4. The warranty on the sold goods does not exclude, limit, or suspend the consumer’s rights arising from the statutory warranty of conformity, which lasts 24 months from the delivery of the products as provided by the Consumer Code.
Any defects immediately visible upon delivery must be reported within 7 (seven) business days from delivery by contacting Customer Service at the e-mail address: www.hollidayandbrown.com, providing the order number, payment receipt or invoice, and a detailed description of the defect, attaching photographic evidence if possible.
In any case, the Customer’s right to invoke the statutory warranty under the law remains unaffected.
If a lack of conformity is confirmed, the Customer will be entitled to replacement or repair of the product or to any other remedies provided by law.
7.5. The warranty does not cover defects caused by: i) improper or non-compliant use of the product by the Customer; ii) accidents, negligence, or incidental damage.

9. Privacy
9.1 Mantero undertakes to process the consumer’s personal data in accordance with the conditions established by the applicable legal provisions in this area.
9.2. By accepting these General Terms and Conditions, the consumer consents to the processing of personal data by Mantero in connection with the execution of sales contracts for the offered products.

10. Applicable law and competent jurisdiction
10.1. The General Terms and Conditions of Sale are governed by Italian law, in particular Legislative Decree no. 206 of 6 September 2005, the Consumer Code, with specific reference to regulations on distance contracts, and Legislative Decree no. 70 of 9 April 2003 concerning certain aspects of electronic commerce. The sale of products and/or provision of services takes place within the territory of the Italian State and is subject to the laws in force in the Italian Republic, excluding conflict-of-law rules and, in any case, private international law provisions. The applicability of the Vienna Convention on the Sale of Goods of 1980 is also excluded
10.2. For any dispute regarding the interpretation, execution, or termination of these General Terms and Conditions of Sale, if the Customer qualifies as a consumer, the competent court will be that provided by current Italian legislation, in compliance with the Consumer Code.
10.3. If, instead, the Customer acts in the exercise of his or her business activity, the parties mutually agree on the exclusive jurisdiction of the Court of Como.
10.4. Mantero is always willing to seek an amicable solution to any disputes that may arise with the Customer. In any case, the Customer retains the right to bring a claim before the competent judicial authority in accordance with applicable law.
11. Force majeure
11.1. Mantero shall not be held liable for partial or total non-performance of contractual obligations in the event of external events, defined as "force majeure" events, which are beyond the control of Mantero. The term "force majeure" refers to all unforeseen events independent of Mantero, occurring after the conclusion of the contract, including, in particular: epidemics, pandemics, war, riots, disasters, floods, supply issues, terrorism, and strikes.
11.2. If the period of "force majeure" exceeds 2 weeks, both the Customer and Mantero, shall have the right to terminate the contract with immediate effect, without any liability for damages resulting from the termination due to the "force majeure" event.
12. Updates and amendments
12.1. The General Terms and Conditions of Sale are periodically updated in line with business and market developments, as well as to comply with any legislative updates and amendments. Each update or amendment will be regularly published on the website www.hollidayandbrown.com and will take effect immediately from the date of publication.
12.2. The new General Terms and Conditions of Sale will be effective from the date of publication on the website www.hollidayandbrown.com and shall apply to purchase orders submitted after that date.
